2. Accurate Information Provision

You agree to provide accurate, current, and complete information when registering for services, submitting inquiries, or communicating with our team. Providing false, misleading, or outdated information may result in service delays, termination of access, or inability to deliver effective research outcomes. When interacting with our services, you expressly agree not to:

  • Use our services for any unlawful, fraudulent, or malicious purposes

4. Content Submission Standards

Any information, materials, feedback, or communications you provide through our website or during service engagements must be lawful, accurate, and not violate any third-party rights. You represent that you have all necessary permissions and authority to share submitted content, and that it does not contain confidential information you are prohibited from disclosing. We reserve the right to refuse or remove content that violates these standards.

5. Professional Communication Standards

We expect all interactions to maintain professional standards of conduct. This includes respectful communication with our team, timely responses to inquiries regarding project requirements, honest representation of business needs, and constructive participation in research processes. Unprofessional conduct, harassment, or abusive behavior toward our staff may result in immediate termination of services.

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, protect, and manage personal information. By accepting these Terms and Conditions, you acknowledge that you have read and understood our Privacy Policy and consent to our data processing practices as described therein.

You are responsible for ensuring that any personal data you provide to us or authorize us to collect complies with applicable data protection laws. For detailed information about our privacy practices, please review our Privacy Policy.

Disclaimers, Warranties, and Limitation of Liability

Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN CRAFT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content or information
  • Warranties that services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding results that may be obtained from use of our services
  • Warranties concerning the accuracy or reliability of third-party information sources

Professional Service Limitations

While we apply rigorous research methodologies and professional expertise, we cannot guarantee specific outcomes, business results, or performance improvements. Market research inherently involves analysis of dynamic conditions subject to change. Research findings reflect information available at the time of analysis and may be affected by subsequent market developments, competitive actions, or other factors beyond our control or reasonable foresight.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN CRAFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business opportunities, or anticipated savings
  • Loss of data, information, or business records
  • Business interruption or operational delays
  • Reputational harm or damage to goodwill
  • Cost of substitute services or products

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR CHF 500, WHICHEVER IS GREATER.

Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations and exclusions shall apply to the fullest extent permitted by applicable law. These limitations apply regardless of the legal theory upon which a claim is based, whether contract, tort, negligence, strict liability, or otherwise.

Third-Party Claims and Actions

We are not responsible for actions, content, information, or data of third parties, including but not limited to research participants, data sources, service providers, or other third parties referenced in our work. You acknowledge that reliance on third-party information is at your own risk.

Force Majeure

Meridian Craft shall not be liable for any delay or failure to perform obligations under these Terms and Conditions if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, pandemic or epidemic, failure of public utilities or telecommunications networks, or other events of force majeure. In such circumstances, our performance obligations shall be suspended for the duration of the force majeure event, and we shall have a reasonable extension of time to fulfill such obligations.

Legal Framework and Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Jurisdiction and Venue

Any disputes, claims, or controversies arising out of or relating to these Terms and Conditions or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Geneva, Switzerland. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

Dispute Resolution Procedures

Before initiating formal legal proceedings, parties agree to attempt good faith resolution through the following process:

  1. Direct negotiation between the parties for a period of 30 days
  2. Mediation before a mutually agreed-upon mediator if negotiation is unsuccessful
  3. Formal legal proceedings only after exhausting the above steps

This requirement does not prevent either party from seeking emergency or interim relief from a court of competent jurisdiction when necessary to prevent irreparable harm.

Time Limitation for Claims

Any claim or cause of action arising out of or related to use of our services or these Terms and Conditions must be filed within one year after such claim or cause of action arose, or be forever barred, regardless of any statute or law to the contrary.

Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

Modification of Terms

Meridian Craft reserves the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. Material changes will be communicated through prominent notice on our website or via email to registered users. The effective date of any modifications will be clearly indicated.

Your continued use of our website or services following the posting of revised Terms and Conditions constitutes your acceptance of such changes. If you do not agree to the modified terms, you must discontinue use of our services. We recommend reviewing these terms periodically to stay informed of any updates.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific service agreements or engagement letters, constitute the entire agreement between you and Meridian Craft regarding use of our website and services. These terms supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral, relating to the subject matter herein. No amendment or modification of these terms shall be binding unless in writing and signed by an authorized representative of Meridian Craft.

No Waiver of Rights

The failure of Meridian Craft to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by an authorized representative. Any waiver of a breach shall not constitute a waiver of any subsequent breach. The rights and remedies provided in these terms are cumulative and not exclusive of any rights or remedies provided by law.
